1. Introduction
Welcome to Bizar Design Studio (PTY) Ltd. (“BDS”). These Terms and Conditions govern your use of our services, including but not limited to web development, app development, brand identity, and website maintenance. By engaging our services, you agree to comply with these terms. If you do not agree with any part of these terms, you must refrain from using our services.
2. Services Provided
BDS offers a comprehensive range of digital solutions, including:
- Web Development – Custom website design, e-commerce development, content management systems, and web application development.
- App Development – Mobile and web-based application development tailored to your needs.
- Brand Identity – Logo design, corporate branding, marketing materials, and brand strategy.
- Website Maintenance – Regular updates, security enhancements, backups, and performance optimization.
3. Payment & Refund Policy
- All projects require an initial deposit before commencement, as agreed upon in the project proposal or invoice.
- Final payment is due upon project completion and prior to the transfer of ownership rights.
- Refunds may be requested if BDS fails to meet agreed-upon deadlines due to reasons within our control.
- Refund requests must be submitted in writing and will be processed within 5 – 15 business days using the original payment method.
- No refunds will be issued for completed services or for project delays caused by external factors such as third-party services, force majeure, or client-related delays.

4. Intellectual Property
- All intellectual property, including but not limited to designs, code, graphics, and branding materials, remains the property of BDS until full payment has been received.
- Upon full payment, intellectual property rights are transferred to the client, except for any third-party components or open-source elements used in development.
- BDS reserves the right to showcase completed projects in its portfolio unless otherwise agreed upon in writing.
5. Confidentiality
- BDS agrees to keep all information shared by the client confidential and will not disclose it to any third party without prior consent.
- Any non-disclosure agreements (NDAs) required by the client must be signed before the commencement of the project.
6. Limitation of Liability
- BDS shall not be liable for any indirect, incidental, special, or consequential damages arising from or in connection with our services.
- We do not guarantee specific outcomes for website rankings, sales performance, or software usability beyond agreed-upon deliverables.
- Clients are responsible for providing accurate project requirements and reviewing deliverables within the specified timeframe.
7. Website Maintenance Plan
- Website maintenance services include updates, backups, security checks, and performance monitoring as per the chosen package.
- Maintenance plans do not cover major redesigns, new features, or third-party service issues unless specified in the agreement.
- Clients must provide necessary access credentials and update requests in a timely manner.
- Cancellation of maintenance services requires a 30-day written notice.
8. Governing Law
- These Terms and Conditions shall be governed by and construed in accordance with the laws of The Republic of South Africa.
- Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of The Republic of South Africa.
9. Changes to Terms & Conditions
- BDS reserves the right to modify these terms at any time. Any changes will be effective immediately upon posting on our website.
- A revised agreement may be sent to clients before the commencement or finalization of a project.
